2. Definitions
- Advertiser” refers to any entity that submits, contracts for, or otherwise agrees to place advertising with News Wire Magazine.
- Content” means any text, images, videos, audio, or other materials provided by the Advertiser for the purpose of advertising.
3. Advertising Services
News Wire Magazine offers various advertising services, including but not limited to print and digital advertisements, sponsored content, and branded partnerships.
4. Submission and Approval of Content
- 4.1. Advertiser shall submit all advertising content for review and approval by News Wire Magazine prior to publication.
- 4.2. News Wire Magazine reserves the right, at its sole discretion, to reject or remove any advertising content that is deemed inappropriate, offensive, or inconsistent with News Wire Magazine’s standards.
5. Payment Terms
- 5.1. Advertiser agrees to pay all fees associated with their advertising as specified in the advertising agreement.
- 5.2. Payments are due as outlined in the invoice or advertising agreement. Late payments may incur additional charges.
6. Intellectual Property Rights
- 6.1. Advertiser represents and warrants that they own or have the necessary licenses, rights, consents, and permissions to use and authorize News Wire Magazine to use all Content submitted for advertising purposes.
- 6.2. News Wire Magazine does not claim ownership of the Content but is granted a license to use the Content for the purpose of fulfilling the advertising services.
7. Compliance with Laws
Advertiser agrees to comply with all applicable laws, regulations, and guidelines concerning their advertising activities.
8. Indemnification
Advertiser agrees to indemnify, defend, and hold harmless News Wire Magazine, its affiliates, officers, agents, employees, and partners from any claim, demand, loss, liability, or expense, including reasonable attorneys’ fees, arising out of or in connection with the Advertiser’s advertising content, breach of these Terms, or violation of any law or rights of a third party.
9. Limitation of Liability
News Wire Magazine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) the Advertiser’s access to or use of or inability to access or use the advertising services; (ii) any content or conduct of any third party on the advertising services; or (iii) unauthorized access, use, or alteration of the Advertiser’s content.
10. Termination
Either party may terminate the advertising agreement with written notice. Upon termination, the Advertiser is responsible for any outstanding fees owed.
11. Modification of Terms
News Wire Magazine reserves the right to modify these Terms at any time. Advertisers will be notified of any changes, and continued use of the advertising services constitutes acceptance of the new Terms.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which News Wire Magazine operates, without regard to its conflict of law provisions.
